1. Generalities
GWT (hereinafter referred to as "the Company") is engaged in the manufacturing of special cutting tools made of PCD, carbide, and steel, as well as the distribution of other related products such as abrasives. These Terms and Conditions (hereinafter referred to as "the Terms") govern the sale of products and the provision of services by the Company to its customers (hereinafter referred to as "the Customer"), which range from distributors to end users in various industries such as automotive, aerospace, medical, oil and gas, among others.
2. Quotations
- All quotes issued by the Company are valid for a period of 365 days from the date of issuance, unless otherwise stated.
- The quoted prices do not include the Value Added Tax (VAT). At the time of purchase, the applicable VAT percentage will be applied according to current legislation.
- Quotations are subject to material availability and production capacity.
- The Company reserves the right to modify the prices or specifications of the products without prior notice.
3. Orders
- Orders must be made in writing and must include the following information:
- Customer's name and contact information.
- Detailed description of the requested products or services.
- Quantity.
- Desired delivery date.
- Shipping address.
- The Company will confirm the receipt of the order and provide an estimated delivery date.
- The Company reserves the right to refuse any order at its discretion.
4. Production and Delivery
- The Company manufactures and delivers all orders in full upon completion of production.
- The Company reserves the right to make partial deliveries if production circumstances require it. In the event that partial deliveries are made, the Customer will be notified in advance.
- The delivery time begins from the signing of the production drawing authorization by the Client.
- Any modification requested by the Client to the production drawing must be communicated in writing and may incur additional costs and affect the delivery time.
- The Company is not responsible for delays in delivery caused by circumstances beyond its control, such as natural disasters, strikes, or interruptions in the supply of materials.
5. Production Drawing
- The "Production Drawing" is the final plan approved by the Client that details the specifications of the cutting tools, including dimensions, tolerances, materials, and treatments.
- Preparation: Once we receive your order, our engineering team will create a Production Drawing that will show the technical specifications of your cutting tool, including:
- Exact dimensions.
- Allowed tolerances.
- Materials to be used (PCD, carbide, steel).
- Special treatments (coatings, etc.).
- Approval: We will send you the Production Drawing for your review and approval. It is the Client's responsibility to thoroughly review all specifications of the drawing, especially the dimensions and tolerances, before giving their approval. Any errors or discrepancies in the drawing approved by the Client will be their responsibility. Once we receive your written approval, we will proceed with the manufacturing of your tool.
- The Company commits to delivering the production drawing within 15 business days from the receipt of the purchase order and the Client's requirements.
- The Client will have a period of 15 business days to review and approve the production drawing.
6. Quality and Materials
- Special cutting tools are manufactured with high-quality materials and comply with applicable quality standards.
- The Company guarantees the quality of the cutting tools for a period of 12 months from the date of delivery.
7. Security
- Special cutting tools must be used by trained personnel and in accordance with the relevant safety regulations.
- The Company is not responsible for any damages or injuries caused by the improper use of the tools.
8. Storage and Transportation
- Special cutting tools should be stored in a dry place protected from moisture.
- The transportation of the tools must be carried out safely to avoid damage during the transfer.
9. Confidentiality
The Company is committed to maintaining the confidentiality of the designs and specifications of the Client's special cutting tools.
10. Payments
- The payment terms will be specified in the quotation.
- The Client agrees to make payments in accordance with the established conditions.
- In case of payment delay, the Company reserves the right to suspend the delivery of products or the provision of services.
11. Cancellations
- Order cancellations must be made in writing.
- The Company reserves the right to apply cancellation fees in the event that the Customer cancels an order after production has begun.
12. Returns
- Product returns must be authorized by the Company.
- The products must be returned in their original packaging and in perfect condition.
- The Company reserves the right to refuse any return that does not meet the established conditions.
13. Guarantee
- The Company guarantees that the products will be free from manufacturing defects for a period of 1 month from the date of delivery.
- The Company guarantees that the cutting tools will be free from manufacturing defects for a period of 12 months from the date of delivery. Furthermore, the Company guarantees that the tool will meet the lifespan determined in the initial test, provided it is used under the same cutting and general conditions specified in the test report "2.0 Test Report Data" within the GWT testing protocol, which must be approved by the Client.
- The warranty does not cover damages caused by:
- Inappropriate use of the tool.
- Normal wear from use.
- Lack of proper maintenance.
- Modifications made by the Client or third parties.
- Use of the tool under conditions different from those specified in the test report "2.0 Test Report Data" of the GWT testing protocol.
- In the event that a product has a manufacturing defect or does not meet the guaranteed lifespan under the established conditions, the Company agrees to repair or replace it at no charge.
14. Limitation of Liability
- The Company's liability is limited to the value of the products or services purchased by the Customer.
- The Company is not responsible for indirect, special, or consequential damages, such as loss of profits or business interruption.
15. Governing Law and Jurisdiction
- These Terms are governed by the laws of the United Mexican States.
- Any controversy arising in connection with these Terms will be resolved in the courts of the state of Nuevo León, Mexico.
16. Modifications
- The Company reserves the right to modify these Terms at any time.
- The modifications will come into effect at the time of their publication on the Company's website. www.gwt.com.mx
